A New Chapter for U.S. Billboard M&A

With the permission of SignValue

The U.S. billboard acquisition market is entering one of its most competitive periods in years.

On October 14, Mubadala Capital completed its $6.2 billion acquisition of Clear Channel Outdoor, taking the company private. That leaves Lamar Advertising and OUTFRONT Media as the only two publicly traded companies among the industry’s traditional “Big Three.”

However, while the number of publicly traded operators has declined, all three major companies now appear well-positioned to pursue growth through acquisitions, partnerships, and organic development.

Clear Channel Outdoor enters its next chapter with substantial institutional capital backing and greater financial flexibility. SignValue has also observed a noticeable increase in Clear Channel’s competitiveness in certain private acquisition discussions, including offers involving billboard assets it currently manages. This represents an encouraging shift in its acquisition posture.

OUTFRONT Media is similarly signaling a renewed appetite for acquisitions. In September, CFO Matt Siegel stated that the company feels comfortable returning to more material M&A activity following improvements to its balance sheet. OUTFRONT has also publicly expressed its willingness to establish an UPREIT structure for the right acquisition, potentially giving sellers another tax-efficient transaction option.

Lamar Advertising continues to be exceptionally active. Management expects to exceed $200 million in 2026 spending on billboard acquisitions and easement purchases. Lamar has also completed two UPREIT acquisitions, including its August purchase of AdSource Outdoor. Industry speculation points to the possibility of another, potentially much larger UPREIT transaction in the coming months, although no such deal has been publicly announced.

Adams Outdoor, the nation’s fourth-largest U.S. billboard operator, is also expanding aggressively. In July, Adams acquired Barnes Advertising and Oliver Outdoor assets, adding 1,040 billboard structures across Ohio, Pennsylvania, and West Virginia in one of the largest expansions in the company’s history.

Beyond these four operators, a growing universe of well-capitalized independent companies, including MC Outdoor, Frame OOH (formerly Harkey Media), New Tradition, Heritage Outdoor Media, and BIG Outdoor, continues to pursue acquisitions.

What Does This Mean for Billboard Owners?

For perhaps the first time in many years, the industry’s largest buyers are simultaneously positioned to pursue meaningful acquisitions, while an increasingly sophisticated group of independent operators provides additional competition.

The growing adoption of UPREIT structures, alongside conventional cash acquisitions and strategic partnerships, is also expanding the options available to owners considering a sale or recapitalization.

At SignValue, we believe this is one of the healthiest M&A environments the U.S. outdoor advertising industry has experienced in years. Although individual valuations remain dependent on asset quality, market positioning, and financial performance, increased buyer competition creates attractive opportunities for billboard owners considering a transaction.

For owners contemplating a sale, partnership, or recapitalization, now may be an excellent time to explore the market.
