Billionaire investor Mark Walter is under DOJ investigation for not disclosing certain loans his insurance companies has made to other companies he controls. Here’s a review of the situation, sponsored and analyzed by SignValue.
Insurance companies are allowed to lend to affiliates so long as those loans are disclosed. The Wall Street Journal reports that an internal review identified $20 billion of affiliated loans hadn’t been disclosed by Walter’s TWG Global conglomerate.
Why does it matter? TWG Global is one of the partners in the $6.2 billion Mubadala Capital buyout of Clear Channel Outdoor. In the press release announcing the buyout, Mark Walter said, “This landmark transaction represents the ideal expression of our partnership with Mubadala Capital and TWG’s investment thesis in motion. Mubadala Capital’s ability to approach complex transactional situations with creativity and commit resources to support high-conviction opportunities, combined with TWG’s operational expertise and track record of driving large-scale digital transformation across a range of industries, will set up Clear Channel and its management team to lead the sector at this exciting inflection point and build the next generation of digital advertising infrastructure.”
The Mubadala purchase of Clear Channel Outdoor is expected to close in the third quarter of 2026, following the review and clearance of the transaction by the Committee on Foreign Investment in the United States (“CFIUS”). We do not expect CFIUS approval to be denied due to Walters problems. The CFIUS review will be centered on US national security, not loan or sponsor disclosures and Mubadala is the sovereign wealth fund of US ally Abu Dhabi. Neverless, Clear Channel stock has dropped 4% in the past week. The market is pricing concerns that Walter’s problems could impact the timing and structure of the Clear Channel Outdoor sale.
